BYLAWS OF THE AMERICAN SOCIETY OF COSMETIC BREAST SURGERY I. PURPOSE The purpose of this organization is to help professionals provide high quality care of patients having cosmetic breast surgery. This is done through training, education, research, and the free interchange of ideas .II. CATEGORIES OF MEMBERSHIP MEMBER Requirements: 1.) One-time initial fee of $300.00. 2.) Yearly dues of $200.00. 3.) Curriculum Vitae for approval by Board of Directors.
Privileges: 1.) Will be placed on mailing list and on the ascbs.org website as a member. 2.) May receive a discount for society meetings. 3.) Not allowed to vote or hold office. 4.) May advance to Associate Fellow status without any additional charge. 5.) May apply for Panel Review of any legal matters.
ASSOCIATE FELLOW Requirements: 1.) A minimum of 100 major cosmetic breast operations such as augmentation mammaplasty 2.) Attend at least one ASCBS Annual Meeting. 3.) One-time initial fee of $300.00 required; No fee if already a Member. 4.) Yearly dues of $200.00. 5. Curriculum Vitae for approval by Board of Directors. Privileges 1.) Placed on mailing list and on the ascbs.org website as a Associate Fellow. 2.) May apply for Fellow status with examination. 3.) May not vote. 4.) May not hold office. 5.) May apply for Panel Review of any legal matters. 6.) May receive a discount for society meetings. FELLOW Requirements: 1.) A fee of $1800.00 is charged for taking the oral and written examinations to become an ASCBS Fellow. 2.) A minimum of 100 cosmetic breast operations must have been performed. 3.) Must have attended at least one ASCBS course in cosmetic breast surgery. 4.) Oral examination. 5.) Written examination. 6.) Observation of surgery by two other Fellows, or submit unedited videos of two or more procedures to be observed by three or more Fellows. 7.) Must be approved by the Board of Directors. 8.) A one-time initial fellowship fee of $300.00 must be paid. This fee is waived if you are already an Associate Fellow or Member. 9.) Yearly dues of $200.00. 10.) Curriculum Vitae for approval of Board of Directors. Privileges: Same privileges as Associate Fellow, but Fellows may vote and hold office.
LIFETIME MEMBER, ASSOCIATE FELLOW, OR FELLOW Requirements: 1.) Must first be a Member, Associate Fellow, or Fellow. 2.) Must have attended at least one ASCBS Annual Meeting. 3.) Must pay a one-time Lifetime Membership fee of $2,800.00. Privileges: 1.) Privileges according to category of membership. 2.) Lifetime Member pays no dues for life.
HONORARY MEMBERSHIP 1.) Criteria for honorary membership is to be determined by the Board of Directors. III. OFFICERS Section 1. Officers appointed shall be President, President-Elect, Vice-President, Secretary, and Treasurer for a term of one or two years. Section 2. Duties of Officers a.) President. The President shall preside at all meetings. He shall be empowered to delegate authority and appoint all committees relative to the functioning and performance of the American Society of Cosmetic Breast Surgery. b.) President-Elect. The President-Elect shall act as President in the absence of the President and when so acting shall have the power and authority of the President. c.) Vice-President. The Vice-President shall act as the President in the absence of both President and President-Elect and when so acting shall also have the power and authority of the President. d.) Treasurer. The Treasurer shall be the chief financial officer. The Treasurer shall make a yearly accounting of the financial position of the organization. All financial records shall at all times be open to inspection by the Board of Directors. e.) Secretary. The secretary shall act as the Secretary of the Board of Directors, shall act as custodian of all records and reports, and shall be responsible for the keeping and reporting of adequate records of all meetings. The Secretary shall also certify and keep at the principal office the original or a copy of these By-Laws as amended or otherwise altered to date, and a book of minutes of all meetings. BOARD OF DIRECTORS Section 1. The executive board shall consist of all the officers and the previous two past Presidents for a total of seven in number, all voting.
Section 2. Each board member shall attend regular meetings. Failure to attend without adequate reason shall be considered a voluntary resignation of the Board Member.
Section 3. A quorum shall constitute a majority of members. Meeting may be scheduled by the Board or called by the President.
Section 4. Any board member may be removed without cause by two-thirds of the certified fellows at a meeting specifically called for that purpose or by mail ballot approved by the Board of Directors.
Section 5. The founding Board of Directors shall be the surgeons who are the faculty of this organization in the first year and they shall elect the first officers and Board of Directors. V. Finances
Section 1. This organization shall be operated as non-profit.
Section 2. The finances shall be derived from dues and activities approved by the Board of Directors .
Section 3. All records and books shall be kept on a calendar-year basis and present in financial reports at each meeting by the Treasurer.
Section 4. All monies must be deposited in a bank account.
Section 5. All disbursements must be approved by the Board of Directors.
Section 6. No monies shall inure to the benefit of any of the officers or members except for expenses approved by the Board of Directors. VI. Elections
A Nominating Committee appointed by the Board of Directors shall present a slate of nominations to be voted upon by the Fellows. Other nominations may be made if accompanied by consent of the nominee. If there is more than one nominee for a office a majority of votes cast by the Fellows shall determine the election. VII. Amendments The bylaws may be amended by two-thirds vote of the Fellows.
